For detailed terms of the Offers, please refer to the Tender Offer Memorandum, copies of which are (subject to distribution restrictions) available from the Tender Agent as set out below. Rationale for the Offers

From 1 January 2026, the Bank of England’s preferred resolution strategy for the Offeror and its consolidated subsidiaries (the Group) changed to Transfer. The Group’s minimum requirement for own funds and eligible liabilities (MREL) is equal to its minimum capital requirements, defined as the sum of Pillar 1 and Pillar 2A, as set by the Prudential Regulation Authority.

Following the change in resolution strategy, the Notes are no longer required to meet the Group’s current MREL requirement. As a result, the Offers are intended to proactively repurchase the Notes ahead of their scheduled redemption.

Notes purchased by the Offeror pursuant to the Offers will be cancelled and will not be re-issued or resold.

Details of the Offers

Purchase Prices and Accrued Interest Payments

In respect of each Series, the Offeror will, on the Settlement Date, pay for Notes of the relevant Series validly tendered and accepted for purchase by it pursuant to the relevant Offer, a cash purchase price for such Notes (in respect of each series, a Purchase Price) to be determined at or around 11.00 a.m. (London time) (the Pricing Time) on 13 November 2026 (the Pricing Date) (subject to the right of the Offeror to amend such time and date and extend, re-open, amend and/or terminate either Offer in the manner described in the Tender Offer Memorandum) by reference to the sum (each such sum, a Purchase Yield) of (i) the relevant Purchase Spread specified in the table above; and (ii) the relevant Benchmark Security Rate.

Each Purchase Price will be determined in accordance with market convention and expressed as a percentage of the aggregate principal amount of the Notes of the relevant Series accepted for purchase pursuant to the relevant Offer (rounded to the nearest 0.001 per cent., with 0.0005 per cent. rounded upwards), and is intended to reflect: (a) in the case of the 2028 Notes, a yield to 7 September 2027, being the optional par redemption date in respect of the 2028 Notes; and (b) in the case of the 2030 Notes, a yield to 16 January 2029, being the optional par redemption date in respect of the 2030 Notes, in each case on the Settlement Date based on the relevant Purchase Yield. Specifically, each Purchase Price will equal (a) the value of all remaining payments of principal and interest on the relevant Notes up to and including (i) in the case of the 2028 Notes, 7 September 2027, or (ii) in the case of the 2030 Notes, 16 January 2029 (in each case assuming for such purposes that the relevant Notes were redeemed in full at their principal amount on such date), discounted to the Settlement Date at a discount rate equal to the relevant Purchase Yield, minus (b) Accrued Interest in respect of the relevant Series.

The determination of each Purchase Price will, absent manifest error, be conclusive and binding on the Offeror and the Holders.

The Offeror will, on the Settlement Date, also pay an Accrued Interest Payment in respect of any Notes accepted for purchase by it pursuant to the relevant Offer(s).

Maximum Acceptance Amount and Final Acceptance Amount

If the Offeror decides to accept any validly tendered Notes for purchase pursuant to the Offers, the Offeror proposes that the aggregate principal amount of Notes across both Series it will accept for purchase pursuant to the Offers will be no greater than £500,000,000 (subject to the right of the Offeror to increase or decrease such amount, the Maximum Acceptance Amount), although the Offeror reserves the right, in its sole and absolute discretion, to accept significantly more or significantly less than (or none of) such amount for purchase pursuant to the relevant Offer(s) (the final aggregate principal amount of Notes across both Series accepted for purchase pursuant to the Offers being the Final Acceptance Amount).

The Offeror will determine the allocation of the Final Acceptance Amount between the 2028 Notes and the 2030 Notes in its sole and absolute discretion, and reserves the right to accept significantly more or significantly less than (or none of) the Notes of one Series as compared to the other Series (the final aggregate principal amount of each Series (if any) accepted for purchase pursuant to the relevant Offer being, in respect of each Series, a Series Acceptance Amount). For the avoidance of doubt, the Offeror reserves the right to accept, in its sole and absolute discretion, only the 2028 Notes or only the 2030 Notes for purchase pursuant to the relevant Offer.

Scaling

If the Offeror decides to accept any validly tendered Notes of a Series for purchase pursuant to the relevant Offer and the aggregate principal amount of Notes of such Series validly tendered for purchase pursuant to the relevant Offer is greater than the relevant Series Acceptance Amount, the Offeror intends to accept the Notes of such Series for purchase on a pro-rata basis such that the aggregate principal amount of Notes of such Series accepted for purchase pursuant to the relevant Offer is no greater than such Series Acceptance Amount. See the Tender Offer Memorandum for further information.

Tender Instructions

In order to participate in, and be eligible to receive the relevant Purchase Price and relevant Accrued Interest Payment pursuant to, the relevant Offer, Holders must validly tender their Notes for purchase by delivering, or arranging to have delivered on their behalf, a valid Tender Instruction that is received by the Tender Agent by 4.00 p.m. (London time) on 12 November 2026 unless extended, re-opened, amended and/or terminated as provided in the Tender Offer Memorandum (the Expiration Deadline).

Tender Instructions will be irrevocable except in the limited circumstances described in the Tender Offer Memorandum.

Tender Instructions must be submitted in respect of a minimum principal amount of Notes of the relevant Series of no less than £100,000 (being the minimum denomination in respect of each Series), and may be submitted in integral multiples of £1,000 thereafter.

A separate Tender Instruction must be completed on behalf of each beneficial owner and in respect of each Series.
